Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Badger Technologies ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

2. Services Description

Badger Technologies provides comprehensive IT services including:

  • Managed IT Support - 24/7 help desk and proactive monitoring
  • Cybersecurity Services - threat protection and compliance
  • Cloud Services - Azure migration and management
  • Network Management - design, implementation, and optimization
  • Data Management - backup, recovery, and compliance solutions
  • IT Consulting - strategic planning and digital transformation
  • Vendor Management - technology vendor coordination
  • Hardware Procurement - sourcing and deployment

3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Maintain confidentiality of access credentials
  • Notify us promptly of any security incidents
  • Comply with applicable laws and regulations
  • Pay all fees according to agreed schedules
  • Provide reasonable access to systems and facilities

4. Payment Terms

Payment terms vary by service type:

  • Free Assessments: No charge for initial IT assessments
  • Project work: 50% upfront, balance upon completion
  • Monthly managed services: Due within 30 days of invoice date
  • Emergency support: Due within 15 days of service
  • Onsite support: Local clients pay fuel costs only; others cover travel and housing

Late payments may incur a 1.5% monthly service charge. All prices are subject to change with 30 days notice.

5. Intellectual Property

All custom solutions, documentation, and reports created by Badger Technologies remain our intellectual property unless explicitly transferred in writing. Clients receive a license to use delivered solutions for their business operations.

6. Confidentiality

We maintain strict confidentiality of all client data and business information. All team members sign non-disclosure agreements. We comply with industry-specific requirements including HIPAA for healthcare clients and PCI-DSS for payment processing environments.

7. Limitation of Liability

Badger Technologies' liability is limited to the amount paid for services in the preceding 12 months. We are not liable for indirect, consequential, or punitive damages. Our maximum liability shall not exceed $10,000 per incident.

8. Service Availability

While we strive for maximum uptime, we do not guarantee uninterrupted service availability. Scheduled maintenance will be communicated in advance when possible.

9. Termination

Either party may terminate services with 30 days written notice. Immediate termination may occur for breach of these terms, non-payment, or illegal activities.

10. Governing Law

These Terms are governed by the laws of the State of Wisconsin, United States. Any disputes shall be resolved through binding arbitration in Wisconsin, or in the jurisdiction where services were provided.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website and take effect immediately. Continued use of our services constitutes acceptance of modified terms.
